
Hummingbird Growth and Automation Subscription Agreement
This Subscription Agreement is made as of (the “Effective Date”)

, by and between Hummingbird Growth and Automation LLC (“Hummingbird”), and Client Listed Below.
1. Service Description
Hummingbird provides a hosted software platform and related services designed to support outbound prospecting, messaging, and engagement workflows (the “Service”).
Subject to the terms of this Agreement, Hummingbird grants Client a non-exclusive, non-transferable, limited license to access and use the Service during the Subscription Term.
2. Team License Scope
Client has purchased a Team License which includes access to the Hummingbird platform for up to the number of LinkedIn profiles specified in the applicable order or invoice (“Licensed Profiles”).
Each Licensed Profile may be deployed for a distinct business use case, including but not limited to:
Advisor or sales production
Recruiting
Joint work or referrals
Testing and market coverage
Licensed Profiles may not be shared across unrelated businesses or legal entities.
3. Subscription Term & Commitment
Client agrees to a minimum twelve (12) month subscription term (“Subscription Term”), commencing on the Effective Date.
This Agreement is non-cancelable during the Subscription Term, except as expressly stated herein.
4. Fees & Payment
Client agrees to pay all fees associated with the selected Team License, as set forth in the applicable order or invoice.
All fees are non-refundable
No partial or prorated refunds will be issued for early termination or non-use
Payment authorization is granted for the agreed-upon subscription amount
Charges will appear as HUMMINGBIRD on Client’s payment method.
5. Onboarding & Support
Client’s subscription includes:
Platform onboarding and implementation
Training and support resources
Ongoing access to Hummingbird support during the Subscription Term
Onboarding fees, if applicable, are one-time and non-refundable.
6. Acceptable Use & Platform Governance
Client agrees to use the Service in compliance with:
Applicable laws and regulations
Third-party platform terms (including LinkedIn)
Hummingbird’s usage guidelines and best practices
Hummingbird does not guarantee platform access, profile performance, or results, and is not responsible for restrictions or enforcement actions taken by third-party platforms.
7. No Performance Guarantees
Client acknowledges that Hummingbird does not guarantee:
Specific response rates
Appointments
Leads
Revenue outcomes
The Service provides infrastructure and tools; results depend on Client implementation and market conditions.
8. Confidentiality
Client will receive access to proprietary methodologies, systems, and processes. Client agrees to keep such information confidential and not disclose or reproduce it outside the scope of this Agreement.
9. Termination for Cause
Hummingbird may suspend or terminate access to the Service for material breach of this Agreement, misuse of the platform, or non-payment.
10. Governing Terms
This Agreement incorporates by reference Hummingbird’s Terms of Service and Terms of Sale in effect as of the Effective Date, available at www.hummingbird.org.
In the event of a conflict, this Agreement controls.
11. Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings.
By executing this Agreement, Client confirms they have read, understood, and agreed to the terms herein.
